Abandonware is a grey area. It's technically illegal to download it, but it's generally of low value to the person/company that originally sold it, so that they don't actively hunt down violators. Still, depending on the company, they may or may not prosecute anybody they do find out about, and they do have the legal right to do so.

Well, there IS abandonware that was released into the public domain. However, many such sites also host stuff that has not been released, but is just simply oooooooold.
